Please read these Terms and Conditions carefully. These Terms and Conditions (the “Terms”) govern the website visitor’s (the “User’s”) access and use the website at https://www.efkolaw.com/  (the “Website”), as well as use and purchase of services (the “Services”) and products (the “Products”) of Efkolaw Ltd, a limited liability company registered in England and Wales with its registered address at 86-90 Paul Street, London, England, EC2A 4NE ("Efkolaw"). Access to, and use Services, Products and Website, including any of its content, is conditional on the User’s agreement of these Terms. By creating an account, using or visiting the Website, or using or purchasing the Products or Services, the User is bound to these Terms and indicates its continued acceptance of these Terms.

 

1. No Legal Advice Disclaimer

Efkolaw is not a law firm and it does not provide legal advice, nor is any information on the Website, or the Products or Services provided by Efkolaw a substitute for or intended to be construed as legal advice. If the User requires legal advice, it is recommended that the User contacts a qualified legal professional. For the avoidance of doubt, the User’s use of the Website, Services, or Products, or communication with Efkolaw do not create a lawyer-client relationship between the User and Efkolaw.

 

2. Products

 

2.1. Description of the Products. Efkolaw provides template agreements and legal documents templates for a fee (the “Fee”) or for free. These Products are provided to the User directly via downloadable links or after the completion of questionnaires by the User.

 

2.2. Suitability of Products. All Products provided by Efkolaw are to be used at the User’s reasonable discretion. While the Products and Services may be suited to a general group of Users, Efkolaw does not guarantee that the Products are suitable for every type of circumstance. For this reason, it is recommended that the User seeks legal advice to deem the appropriateness of the Product.

 

2.3. Product Intellectual Property. Upon the User’s purchase or download of a Product, Efkolaw provides the User with a fully-paid, non-exclusive, non-sublicensable, non-transferable, perpetual, worldwide, revocable, right and licence to use, copy or reproduce, any part of the Product. The User must not sell or openly distribute any part of the Products.

 

3. Services

 

3.1. Description of Services. Efkolaw provides lawyer referral services at no cost to the User. The User may be referred to and introduced to a lawyer or law firm (the "Lawyers") via email after the completion of a questionnaire.

3.2. No Warranties as to Referred Lawyers. Efkolaw does not provide any guarantees or warranties regarding the quality of services, legal or otherwise, provided to Users by the Lawyers.

​

3.3. Disputes with Referred Lawyers. Efkolaw shall not be liable to the User for any damages, whether due to contractual breaches, negligence or otherwise, arising out of the services provided by the Lawyers. For the avoidance of doubt, a separate contract is created between the User and the Lawyer if the User decides to instruct the referred lawyer.

3.4 No Involvement. Efkolaw will not influence, interfere or be involved in the provision of legal services by the Lawyers. Any type of privilege applicable to communications with the Lawyers will exist only between User and the Lawyers, and not with Efkolaw.

3.5 Suitability of Lawyer. It is the sole responsibility of the User to evaluate whether a Lawyer's services, experience, expertise or offering of any kind is suitable for the User, and the User has sole discretion as to accept or reject any Lawyer.

 

4. Product and Services Disclaimers

 

4.1. Descriptions and Illustrations. Any descriptions or illustrations on the Website are published for the sole purpose of giving an approximate idea of the Services or Products. The descriptions and illustrations will not form part of the Terms or have any contractual force.

 

4.2. Availability of paid Services and Products. Efkolaw does not guarantee that the paid Services or Products will be available 100% of the time. Efkolaw’s Products, Services or Website may not be operational due to planned or emergency maintenance or due to a prospective error. If Efkolaw’s Services or Products that have been paid for do not operate as described on the Website, the User should email info@efkolaw.com, with a description of the issue. After being notified, Efkolaw will use commercially reasonable efforts to rectify any relevant issue.

 

4.3. Inaccuracies or Errors. Efkolaw’s Website, Products and Services may contain inaccuracies or typographical errors, and Efkolaw does not represent or warrant that the Services or Products provided will be error-free.

 

5. Refund Policy

 

If the User is dissatisfied with a Product that it has paid Efkolaw for, the User has the right to request a refund within 14 days of the receipt of the Product. Upon receiving a refund, the User undertakes to permanently destroy all materials received as part of the Product and to warrant that no part of the Product has been shared with a third party.

 

6. Payment of Fees

 

6.1. The User must follow the onscreen prompts to place an order for a Product or Service that is not free.

 

6.2. The Fee displayed on the Website shall be the full fee for the Product or Service, and shall include any applicable VAT.

 

6.3. After the User places an order and makes payment, the User will receive an email from Efkolaw acknowledging receipt of the order. If the User has purchased a Product, the Product and all relevant materials will be provided as an attachment or as a downloadable link. If the User has purchased Services, Efkolaw will provide all further details via email, or in any other communication form specified.

7. User Data

 

7.1. Data Protection. The User consents to Efkolaw using the User’s personal information in accordance with its Privacy Policy found here: www.efkolaw.com/privacy-policy.

 

7.2. Definition of User Data. User Data means all electronic data, text, messages or other materials, including, but not limited to the User’s Personal Data, which is submitted to Efkolaw for the receipt of Products and Services. For the avoidance of doubt, all electronic data, text, messages and other materials inputted to the Website’s questionnaires for the receipt of the Products and Services constitute User Data.

 

7.3. Use of User Data. As between the parties, User retains all right, title and interest (including any and all intellectual property rights) in and to the User Data and any modifications expressly made thereto. Subject to these Terms, User grants to Efkolaw a non-exclusive, worldwide, royalty-free right to process the User Data solely to the extent necessary to provide the Products and Services, and to perform all related obligations owed to User under these Terms, or as may be required by law.  The User is solely responsible for the accuracy, content and legality of all User Data. The User warrants that the User has and will have sufficient rights in the User Data to grant the rights to Efkolaw under these Terms. The User also agrees not to upload any User Data containing special categories of personal data as described at https://ico.org.uk/for-organisations/guide-to-data-protection/guide-to-the-general-data-protection-regulation-gdpr/special-category-data/what-is-special-category-data/.

 

8. Intellectual Property

 

8.1. All intellectual property rights (the “IPRs”) in, in connection with or arising out the Website, Products or Services, will be owned by Efkolaw, and no IPRs shall be assigned to the User, unless otherwise stated in these Terms.

 

8.2. If, in Efkolaw’s opinion, the User infringes any of Efkolaw’s intellectual property rights under these Terms, inclusive of openly distributing or selling any part of the Products, Efkolaw reserves the right to claim for damages at the fullest extent of applicable law.

 

8.3. Efkolaw encourages the User to provide suggestions, proposals, ideas, recommendations, or other feedback regarding improvements to the Website, Products, Services and related material (the “Feedback”). To the extent that the User provides Feedback, the User grants to Efkolaw a royalty-free, fully paid, sub-licensable, transferable, non-exclusive, irrevocable, perpetual, worldwide right and license to make, use, sell, offer for sale, import, and otherwise exploit Feedback (including by incorporation of such Feedback into the Services, Products or Website) without restriction.

 

8.4. If the User provides written material or images (the “Blog Materials”) to be published on the Website’s blog, User grants to Efkolaw a royalty-free, fully paid, sub-licensable, transferable, non-exclusive, irrevocable, perpetual, worldwide right and license to use, sell, offer for sale, copy, reproduce, and otherwise exploit the Blog Materials without restriction. If the User provides such Blog Materials, it represents and warrants that it holds the legal right to share the Blog Materials with Efkolaw and that this sharing does not infringe any third party’s intellectual property rights (inclusive of the Blog Materials containing plagiarised work).

9. Liability

 

9.1. Nothing in these Terms limits any liability which cannot legally be limited, including liability for:

(a)        death or personal injury caused by negligence; and

(b)        fraud or fraudulent misrepresentation.

 

9.2. Subject to Clause 9.1, Efkolaw will not be liable to the User, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with these Terms for:

(a)        loss of profits;

(b)        loss of sales or business;

(c)         loss of agreements or contracts;

(d)        loss of anticipated savings;

(e)        loss of use or corruption of software, data or information;

(f)         loss of or damage to goodwill; and

(g)        any special, consequential, incidental or other indirect damages.

 

9.3. Subject to Clause 9.1, Efkolaw’s aggregate liability to User arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will be limited to three times (3x) the total amount of fees paid by the User to Efkolaw in the 12 months preceding the claim.

10. Indemnity

 

User will defend, indemnify and hold Efkolaw, any of its affiliates, and their respective officers, directors, employees harmless against all damages, claims, liabilities, costs, losses, and expenses (including reasonable attorney’s fees) arising from or related to a third party related to (a) User Data, or (b) the User’s infringement or misappropriation of any third-party’s IPSs (e.g Blog Materials provided by User to Efkolaw that infringe a third party’s IPRs).

 

11. Third party websites

The Website may contain links to third party websites which Efkolaw does not control, endorse, or monitor the contents of.

 

12. User Behaviour

​

Users of the Website will not:

a) post disruptive, offensive or abusive content anywhere on the Website;

b) advertise their own services in the comment sections; or

c) post comments which are unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, profane, racially offensive or otherwise objectionable.

13. Reliance on Information and Links

​

Any content made available on the Website, Products or Services (including links to other sites, apps and resources provided by third parties) are for informative purposes only, and Efkolaw shall not be liable for any use of, or reliance on, such materials. It is the User’s responsibility to ensure that the Products, Services or information available through the Products or Services meet the User’s specific requirements.

 

14. Entire Agreement

These terms and conditions, together with the Privacy Policy, constitute the entire agreement between the User and Efkolaw in relation to the User’s use of the Website, Products and Services. These Terms supersede all previous agreements in respect of the User’s use of the Website, Products and Services. If any part of these Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

 

15. Changes to the Terms

 

Efkolaw may amend these Terms at any time by amending this page. The User is responsible for reviewing and becoming familiar with any changes each and every time it accesses the Website or uses, accesses or purchases the Products or Services. The User’s use, purchase and/or access of the Website, Services or Products following any changes to these Terms constitutes the User’s acceptance of the updated Terms.

 

16. Applicable law and jurisdiction

These Terms are governed by the laws of England and Wales, and the parties irrevocably agree to submit all disputes arising out of or in connection with these Terms to the exclusive jurisdiction of the English courts.
